1. Introduction

These Terms of Service (“Terms”) govern the provision of services by Mo Digital Hub (Pty) Ltd (“Mo Digital Hub”, “we”, “us”, or “our”) to all clients, including government departments, public entities, and private sector clients (“Client”, “you”, or “your”). By accessing our website or engaging our services, you agree to be bound by these Terms.

Mo Digital Hub operates as a SARS-registered and compliant certified supplier and conducts business in accordance with applicable South African legislation, including the Public Finance Management Act (PFMA) and related supply chain management frameworks where applicable.

2. Scope of Services

Mo Digital Hub provides professional digital and IT services, including but not limited to:

Workforce Optimization

Workplace Management

Workplace Solutions

Digital Workspace Solutions

IT Support and Technical Services (Apple and Windows devices)

Digital Transformation, system implementation, and user training

Specific service details, deliverables, timelines, and pricing will be defined in an approved quotation, contract, Service Level Agreement (SLA), or purchase order.

3. Compliance with Government & PFMA Requirements

Where services are rendered to government institutions or public entities, Mo Digital Hub:

Complies with the PFMA, Treasury Regulations, and applicable SCM policies

Operates in a fair, transparent, competitive, and cost-effective manner

Maintains valid tax clearance and supplier compliance status

Supports audit processes and provides required documentation upon request

4. Client Responsibilities

The Client agrees to:

Provide accurate and complete information required for service deliveryEnsure timely access to systems, facilities, and personnel

Appoint a responsible contact person for coordination

Comply with internal governance, ICT, and security policies

Settle invoices in accordance with agreed payment terms

Delays caused by the Client may impact delivery timelines and service performance.

5. Fees, Pricing, and Payment Terms

All pricing is quoted in South African Rand (ZAR) unless stated otherwise

Prices are exclusive of VAT unless expressly indicated

VAT will be charged at the prevailing rate where applicable

Payment terms are as per the approved quotation or contract

Late payments may attract interest in accordance with applicable legislation

6. Service Level Agreements (SLAs)

Where applicable, services are governed by a Service Level Agreement (SLA) which defines:

Scope of services and performance standards

Response and resolution times

Availability and support hours

Escalation procedures

Reporting and review mechanisms

Mo Digital Hub commits to delivering services professionally and in line with agreed service levels. Failure to meet SLA targets will be addressed in accordance with the agreed SLA terms.

7. Confidentiality

Both parties agree to maintain confidentiality of all proprietary, technical, operational, and business information exchanged during the engagement, unless disclosure is required by law or authorized in writing.

8. Data Protection and POPIA Compliance

Mo Digital Hub complies with the Protection of Personal Information Act (POPIA). All personal and business data is processed lawfully, securely, and only for legitimate business purposes related to service delivery.

9. Intellectual Property

Unless otherwise agreed in writing:

All intellectual property developed by Mo Digital Hub remains its property

The Client is granted a non-exclusive, non-transferable right to use deliverables for their intended business purpose

No ownership rights are transferred unless explicitly stated in a contract

10. Warranties and Limitation of Liability

Services are provided with reasonable care, skill, and diligence

Mo Digital Hub does not warrant uninterrupted or error-free services

Mo Digital Hub shall not be liable for indirect or consequential damages

Liability is limited to the value of the services rendered under the relevant agreement

11. Termination

Either party may terminate services in accordance with the terms of the applicable contract or SLA. All services rendered up to the termination date remain payable.

12. Force Majeure

Mo Digital Hub shall not be liable for failure or delay in performance due to events beyond reasonable control, including power outages, acts of God, strikes, or government actions.

13. Governing Law

These Terms are governed by and interpreted in accordance with the laws of the Republic of South Africa.

14. Amendments

Mo Digital Hub reserves the right to update these Terms from time to time. Updated versions will be published on the company website or communicated where required.
